Commercial License with Indemnification

COMMERCIAL LICENSE AGREEMENT

1. GRANT OF LICENSE
Upon paid download, ThreeRice grants you a non-exclusive, worldwide, perpetual license to use the licensed asset in commercial and personal projects.

2. PERMITTED USES
- Advertising, marketing, and promotional materials
- Websites, apps, and digital products
- Print and broadcast media
- Client work and commercial productions

3. RESTRICTIONS
- Do not resell, redistribute, or sublicense the raw asset
- Do not claim authorship of the original asset
- Do not use in defamatory or unlawful content

4. OWNERSHIP
ThreeRice and its contributors retain copyright. You receive usage rights only.

5. WARRANTY
ThreeRice warrants it has the right to license this asset and that unmodified use per this agreement will not knowingly infringe third-party rights.

INDEMNIFICATION & LEGAL PROTECTION

ThreeRice provides Legal Indemnification for eligible paid downloads:

1. COVERAGE
If a third party claims that your authorized use of a licensed asset infringes copyright, ThreeRice will, at its expense:
(a) Defend you against the claim with qualified legal counsel;
(b) Pay settlements or final judgments awarded against you, up to the coverage limit;
(c) Assist with takedown responses and licensing verification.

2. CONDITIONS
- Asset was purchased through ThreeRice with valid license certificate
- Use complies with this Commercial License
- Claim notified to legal@threerice.com within 30 days of receiving notice

3. COVERAGE LIMIT
Up to USD $25,000 per claim, per asset license.

4. EXCLUSIONS
Claims arising from modifications beyond reasonable adaptation, unauthorized redistribution, or use outside licensed scope are not covered.

This indemnification is a core value of ThreeRice paid downloads and protects your commercial projects.
